Following are details on ISS Governance Services' core policies for the 2008 proxy season, which will be in effect for shareholder meetings on or after February 1, 2008.

2008 US Policy
The ISS Governance Services' core U.S. corporate governance policy is used to analyze proposals on the proxy ballots of U.S. corporations.

 

2008 International Policy
ISS Governance Services' core International corporate governance policy is used to analyze proposals on the proxy ballots of companies domiciled outside of the United States and United Kingdom. We apply our policies consistently and objectively, providing comprehensive analysis and informed vote recommendations to subscribing institutional investors. Our international policy guidelines cover more than 115 markets worldwide and take local market practices into account. Disclosure and transparency requirements, which vary widely across global markets, are a major focus of our core international policy.

 

2008 Canadian Policy
ISS Governance Services' Canadian corporate governance policy is incorporated into its core International corporate governance policy described above. However, recognizing certain local market practices, annual policy updates for Canada are published separately.

 

2008 U.K. Policy
Policy guidelines applied to UK companies are determined by the National Association of Pension Funds (NAPF). Through RREV, we leverage the local market expertise of the NAPF to formulate and apply corporate governance policy to proposals on the ballots of UK companies.
