Vote Analysis Service

Comprehensive Analysis of Institutional Shareholder Voting Patterns

Institutional investors are increasing their focus on the corporate governance practices of their portfolio companies and becoming more committed to exercising their ownership rights, including engagement and dialogue with issuers, voting on management proposals or bringing their own proposals forward for vote.

Corporate directors, secretaries and other governance professionals need to have a detailed understanding of shareholder concerns, whether preparing for investor meetings, developing proxy proposals, or responding to shareholder proposals. A solid understanding of past investor voting behavior can provide insight into institutional voting patterns.

Leveraging the Voting Analytics database, Vote Analysis Service provides you with detailed, expert analysis of the voting records of your major institutional investors, helping you determine:

  • The voting practices of some of your top holders
  • The factors that drive those practices
  • Whether your shareholders have invested in peer companies and how votes compare

The corporate solutions team works closely with you throughout the process, including:

  • Conducting an initial telephonic interview to fully understand your research objectives
  • Running queries against our extensive database of publicly filed information
  • Creating a board-ready presentation of the report results
  • Answering questions and helping you understand the report

Your Vote Analysis Service report will include an ownership profile and background information, as well as one or more of the following analyses, based on the type of proposal you select:

  • Vote Trend Report -
Includes a 3-year vote trend analysis of your top holders, including their voting records on management and shareholder proposals. Depending on your research objectives, this report may also include fund voting policy guidelines, major shareholder proponents of specific types of proposals, or vote results for specific proposals.
  • Vote Driver Report -
Includes reports on factors that might drive a particular vote, such as a fund’s voting policies with respect to Voting Power Dilution (VPD) in equity compensation proposals, or how their level of ownership in your firm correlates to their voting behavior, or other proposal specific drivers.
  • Peer Vote Comparison -
Includes a holdings breakout of select peer companies by fund, and vote results for those peers.

In accordance with our Business Practices, this solution is delivered by ISS Corporate Services, Inc. (ICS), a wholly owned subsidiary of RiskMetrics Group, Inc.
